In these terms and conditions; “we” “us” “our” and “IPC Solutions” refers to IPC Solutions Pty Ltd and all of its direct and indirect subsidiaries.
Form means this online form, which is used to request this consulting service.
Customer means the organisation who is submitting this web form and who is requesting IPC Solutions to perform this consulting service.
Consulting Service means the services provided to the Customer by IPC Solutions.
NBN means the National Broadband Network.
Acceptance of Terms and Conditions
These terms and conditions constitute the sole record of the agreement between you and IPC Solutions ACN 120 878 453 in relation to the subject matter hereof. Neither you nor IPC Solutions shall be bound by any express, tacit or implied representation or warranty or promise or the like not recorded here.
By submission of this Form, you are deemed to have accepted and agreed to these terms and conditions. If you do not accept and agree to the terms and conditions, do not submit this Form.
The pricing for this service is stated in the IPC Solutions website. IPC Solutions prices are fixed for a period as stated in the website. Thereafter IPC Solutions reserves the right to vary prices without notice. A larger engagement of 20 or more services will require a separate quote from IPC Solutions.
Quality of Consulting Services
The Consulting Service must comply with any relevant laws, applicable standards and any other standard specified in the website. The Consulting Service must comply with the requirements for the Consulting Service in the website including any scope of work, drawings or specifications. The Consulting Service will be carried out with due care, skill and diligence, in accordance with this contract and in accordance with generally recognised standards of good professional practice applicable to the Consulting Service, by representatives who are skilled, competent, experienced and properly qualified in their respective trades or professions.
Either party may terminate or suspend this agreement at any time by providing written notice of not less than 14 days from the termination or suspension date. Termination or suspension does not affect the copyright, restriction of use, warranty and liability claims.
Copyright and Restriction of Use
You are not permitted to reproduce the documents, information or materials presented in this Consulting Service for the purposes of conducting a business competitive with or similar to the business of IPC Solutions. In particular, you are not permitted to republish, upload, transmit electronically or otherwise or distribute any of the documents provided where that activity is part of a business that is competitive with or similar to the business of IPC Solutions.
However you are permitted to retain them on computers used in your business for any legitimate or appropriate purpose of conducting your business. IPC Solutions expressly reserves all copyright in its website, in all documents and information provided on its website or directly by IPC Solutions.
We undertake to take all due care with any information which you may provide to us when submitting this Form. However we do not warrant and cannot ensure the security of any information, which you may provide to us. Information you transmit to us is entirely at your own risk although we undertake to take reasonable steps to preserve such information in a secure manner.
IPC Solutions may disclose information in good faith and where IPC Solutions is required to do so by law or by any court; to enforce the terms of any of our customer agreements; to protect the rights, property or safety of IPC Solutions, its customers or third parties; or to banks or financial institutions with the purpose of preventing fraud and as proof of any transaction.
Subject to the provisions of the Competition and Consumer Act 2010 (Cth) and to the fullest extent permitted by law, IPC Solutions absolutely disclaims all warranties, expressed or implied, including, but not limited to, implied warranties of merchantability and fitness for any particular purpose. IPC Solutions gives no guarantee that the documents will be free of errors, or that defects will be corrected. To the extent permitted by law, any condition or warranty which would otherwise be implied into these terms and conditions is excluded.
Any service or advice which may be offered by IPC Solutions to the Customer or its agents is rendered in good faith and IPC Solutions shall not be liable for any loss or damage arising there from. For the avoidance of doubt, IPC Solutions will be under no liability whatsoever to the Customer for any loss, damage (whether direct, indirect or consequential), personal injury or expense of any nature which may be suffered by you or any third party, as a result of the information provided by IPC Solutions within the Consulting Service
